NO PURCHASE OR PAYMENT OF ANY KIND IF NECESSARY TO ENTER OR WIN. WINNERS WILL BE CHOSEN AT RANDOM. VOID WHERE PROHIBITED BY LAW.
This Giveaway Official Rules (this “Official Rules”), together with our Privacy Policy and Terms of Service (https://www.togethxr.com/pages/privacy-policy) (the “Privacy Policy,” and together with this Giveaway Policy, the “Terms”), applies to the giveaway of the Prizes (as defined below (such giveaway, the “Giveaway”).
By entering into this Giveaway, you agree to be bound by the Terms (which incorporate this Purchase Policy), as they are updated from time to time. You also agree to comply with any terms and conditions set by any third parties who put on the events, such as the team, venue or league (each a “Third Party Organizer,” and together with Togethxr (as defined below), the “Event Organizers” and each an “Event Organizer”), and set by Ticketmaster. If you do not agree, do not enter into the Giveaway. To the extent of any conflict between these Official Rules and the Privacy Policy, the terms of these Official Rules shall control to the extent required to resolve the conflict. If you do not agree with the Terms in their entirety, you are not permitted to enter into the Giveaway. The Giveaway is subject to all applicable U.S. Federal, state, and local laws and regulations, and is void where prohibited by law.
1. Parties.
These Official Rules is a legally binding agreement between you, the user (“you” or “your”), and us. We use the terms “us,” “we,” and “our” to collectively refer to AXM LLC (d/b/a Togethxr) (“Togethxr”) and all of Togethxr’s parents, subsidiaries, representatives, affiliates, officers, directors, employees, and agents.
2. Eligibility.
The Giveaway is open only to permanent legal residents of the 50 United States, and the District of Columbia, who are eighteen (18) or older and the age of majority at the time of entry (each, an “Eligible Entrant”). When entering, make sure the information you provide is accurate and valid. The Giveaway is void in the U.S. territories.
Each entrant acknowledges and agrees the Giveaway is in no way sponsored, endorsed, administered by or otherwise associated with Facebook, Instagram, Threads, Meta, or any other third-party. Each entrant hereby releases any and all claims and liability against Facebook, Instagram, Threads, Meta, and any other third-party in connection with the Giveaway.
3. How to Enter.
An Eligible Entrant must fill out the following sign-up document: https://togethxr.co/basketball_giveaway. There is a limit of one (1) entry per person. No purchase or payment is necessary to enter the Giveaway.
4. Prizes; Approximate Rental Value & Odds.
Each prize package consists of the following (collectively, the “Prizes”):
(1) Two (2) tickets to one (1) regular season professional basketball game (each, a “Game”, and such tickets, the “Basketball Tickets”), valued at up to Three Hundred U.S. Dollars total ($300);
(2) Two (2) white Nike t-shirts, valued at Twenty-Five U.S. Dollars each ($25); and
(3) Basketball sticker packs, valued at Five U.S. Dollars each ($5) ((2) and (3) together, the “Merchandise”).
The approximate retail value of the Prizes is Three Hundred and Sixty U.S. Dollars ($360). Odds of winning depend on the number of eligible entries received. One (1) prize per person.
5. Entry Violations.
Where applicable, if, in the opinion and sole and absolute discretion of Togethxr, the entry of any entrant violates any law or infringes upon the rights of any third party, is inaccurate, illegible, incomplete, or irregular in any way, contains unacceptable content, or otherwise does not comply with the Terms, Togethxr may immediately remove and disqualify such entry.
6. Marketing; Newsletter; Content.
Upon entering into the Giveaway, you consent to receive Togethxr’s newsletter and marketing emails; provided, however, that such subscription is optional. You are not required to subscribe to Togethxr’s marketing materials to enter or win the Giveaway. You may opt out of such email communications by by clicking “Unsubscribe” on such communications at any time.
Further, Winners are welcome to share their experience at the Game by creating and capturing real-time content (the “Content”) at such event and sharing it with Togethxr for distribution on Togethxr’s platforms in connection with its programming. If you are selected as a Winner and choose to share your Content, you must sign Togethxr’s standard release for use of such Content and your likeness therein, which will be provided by Togethxr to you, prior to any such use. For the avoidance of doubt, furnishing any Content is optional. You are not required to submit any Content to enter or win the Giveaway.
7. Giveaway Timing; Notification to Winners.
The Giveaway begins at 12:00:01 AM ET on Friday, May 8, 2026 and ends at 11:59:59 PM ET on Friday, May 15, 2026 (the “Giveaway Period”).
Winners of the Giveaway (“Winners”) will be selected at random and will be notified via the email provided upon entry between March 18, 2026 through and including March 22, 2026. Upon notification, selected Winners will have seventy-two (72) hours to accept or reject the Prizes. If rejected, Togethxr will notify the next Winner selected at random. No response from a Winner within the aforementioned seventy-two (72) hour period will be deemed rejected.
8. Sourcing.
We are utilizing the Ticketmaster platform to administer the Basketball Tickets. We (or the Event Organizer) are providing the Basketball Tickets as a ticketing reseller.
9. Availability.
Winners’ Basketball Tickets will be assigned to one (1) of thirty (30) pre-selected Game chosen by Togethxr in its sole discretion, spanning markets across the United States, and subject to availability. Eligible Entrants will have the option to choose their specific preference by selecting which Game they prefer from a drop down menu on the entry form upon entering. Basketball Tickets will be seated in the lower bowl (100-200 level sections) for the applicable Game; provided, however, that exact sections will vary by arena and is subject to availability (the “Designated Section”).
10. Ticket Restrictions.
Your ability to resell or transfer Tickets may be restricted by an Event Organizer, Ticketmaster, or by local laws. For example, you may be unable to resell or transfer your Tickets, restricted with respect to how or where you can resell your Tickets, subject to a resale price cap, or subject to local licensing rules.
11. Our Communications With You.
If we need to contact you, we will use the contact details you provided on your submitted entry form. It is your responsibility to inform us immediately of any changes to your contact details. Please ensure that you provide us with a valid email address. You should also be aware that your email mailbox settings may treat our emails as junk, so remember to check your junk and/or spam folders.
12. Delivery.
In the event you are selected as a Winner and accept the Prizes, (i) your Tickets will be issued in your name and delivered to you electronically by Ticketmaster; and (ii) you will receive an email from us regarding the details for the Merchandise, which will be shipped to you to the address you provided on your entry form.
13. Errors.
It is your responsibility to check your Tickets promptly upon receipt. Please contact Ticketmaster immediately if there is a mistake or error with your Tickets or contact us immediately if there is a mistake or error with your Merchandise, or if you do not receive your Tickets or Merchandise as ordered and/or as described.
14. Canceled, Postponed, Rescheduled or Moved Events.
Event date, time, and location are subject to change. An Event Organizer may cancel or postpone events or reschedule or move events to a different date or materially different time or venue. We are not liable for travel, accommodation, hospitality, or any other expenses that you or anyone else incurs in connection with a canceled, postponed, rescheduled, or moved event.
Notice of Cancellation/Postponement: If your event is canceled, postponed, rescheduled, or moved, Ticketmaster will attempt to contact you to update you on the status of the event, and inform you of any associated procedures. For exact instructions for a specific event, please check the event information online and or contact Ticketmaster.
While Ticketmaster will make reasonable efforts to notify you regarding any changes, Ticketmaster cannot guarantee that you will be informed of such changes; it is your responsibility to check (1) whether an event has been canceled, postponed, rescheduled, moved, or otherwise altered; and (2) the location, date, and time of any moved or rescheduled event.
All event policies for each Event Organizer event, including for canceled, postponed, rescheduled, or moved events, are subject to policies set by the applicable Event Organizer.
Postponed, Rescheduled, or Moved Events: If the event is postponed, rescheduled, or moved, your Ticket still is valid, and no further action is required.
15. No Refunds, Returns, or Exchanges.
All issuances of Tickets and Merchandise are final, and as you understand that the Prizes are being provided on a gratis basis, no refunds will be issued. Exchanges and returns are not available for Tickets or Merchandise.
16. Assumption of Risk.
Your choice to participate in the events is knowing and voluntary. You understand that participation in the events involves inherent risks of accidents, property loss and damage, personal and bodily injury, illness (including COVID-19), and personal and economic losses. These may result from circumstances that include, without limitation, yours or others’ actions, inactions, inexperience or negligence, or the condition of the facilities, equipment, products or location. There may be other risks not known to you or reasonably foreseeable at this time. You have considered the risks involved, and you voluntarily choose to assume these risks. You hereby freely assume the above-mentioned risks and any harm, injury, illness (including COVID-19), or loss that may occur to you or your property as a result of your participation in the events, including, without limitation, any harm, injury, illness (including COVID-19), or loss caused by the negligence or inexperience of us, the Event Organizer, advertisers, sponsors, exhibitors, and all other parties involved with the events, and each of their respective subsidiaries, affiliates, directors, officers, shareholders, employees, agents, representatives, contractors, volunteers, assignees, designees, and insurers (collectively, the “Released Parties”), and any other third parties (including other event participants). WITH FULL KNOWLEDGE AND APPRECIATION OF THESE RISKS, YOU WILLINGLY AND VOLUNTARILY DESIRE TO PARTICIPATE IN THE EVENTS AND WILLINGLY, KNOWINGLY AND VOLUNTARILY ASSUME EACH OF THESE RISKS. IN ASSUMING THESE RISKS, YOU UNDERSTAND AND AGREE THAT YOU ARE ACCEPTING AND ASSUMING THE FULL RESPONSIBILITY FOR THESE RISKS AND THE DAMAGES THAT THESE RISKS CAN CAUSE YOU AND YOUR PERSONAL REPRESENTATIVES, DESIGNEES, HEIRS, NEXT-OF-KIN, SPOUSE (IF APPLICABLE), OTHER RELATIVES, INSURERS, SUCCESSORS AND ASSIGNS (COLLECTIVELY, THE “RELEASING PARTIES”), REGARDLESS OF WHO OR WHAT CAUSES THE RISK AND THE RESULTING DAMAGE.
In consideration of being permitted to attend the events, you accept and agree to the full contents of the release herein, and you fully and forever release and discharge the Released Parties, from any and all injuries, illness, losses, damages, claims, demands, lawsuits, expenses, and any other liability, of or to you, your property, the other Releasing Parties or any other person, directly or indirectly arising out of or in connection with your attendance at the events, even if it is due to the negligence, inexperience, act, omission, conduct or other fault of the Released Parties.
17. Protect Your Tickets.
Tickets cannot be replaced if they are lost, stolen, or damaged. Do not post pictures or details of your Tickets online as this may allow third parties to counterfeit your Tickets or otherwise compromise the integrity of the Tickets. We will not be liable if you are refused entry to the event as a result.
18. Resale of Tickets.
If you resell Tickets (if permitted), you are responsible for how those Tickets are priced, and you are responsible for complying with all applicable ticket resale laws, including (without limitation) tax laws or maximum resale premiums and restrictions. We are not responsible for providing legal or other advice regarding resale or pricing of Tickets. If you unlawfully resell (or attempt to unlawfully resell) Tickets, including (without limitation) selling counterfeit or copied Tickets, we can seize and cancel the Tickets without compensation.
19. Attending Events.
You agree to comply with the applicable Event Organizer’s rules, policies, terms, and conditions (“Event Organizer Rules”) and all applicable federal, state and local laws, orders, directives and guidelines. A Ticket is a revocable license and admission may be refused. Breach of Event Organizer Rules will terminate your license to attend the event without refund. The Event Organizer has the right to refuse admission to or eject, without refund of any amount paid, any person whose conduct management deems unsafe, disorderly, vulgar, or abusive, or who otherwise fails to comply with Event Organizer Rules.
There may be entry or use restrictions. Please read all notifications and information regarding the event you plan to attend. We are not responsible if you or any guests are refused admission because of a failure or inability to comply with entry or use restrictions (e.g., no proof of minimum age, failure to comply with public health measures). For more information about ticket restrictions, see Section 5 above.
You are subject to search. You and your belongings may be searched on entry to the event. You consent to such searches and waive any related claims that may arise. If you elect not to consent to such searches, you may be denied entry to the event without refund or other compensation. Under certain Event Organizer rules, certain items may not be brought into the premises, including without limitation: firearms, alcohol, drugs, controlled substances, cameras, recording devices, laser pointers, strobe lights, irritants (e.g., artificial noisemakers), and containers.
Events are public and you may be recorded or photographed. You agree that the event for which you purchase Tickets is a public event, that your appearance and actions inside and outside the venue where the event occurs are public in nature, and that you have no expectation of privacy with regard to your actions or conduct at the event. You grant permission to us, the Event Organizer, and our partners, licensees, designees and assigns (including but not limited to our brand and media partners) to use your name, image, likeness, acts, poses, plays, appearance, movements, and statements in any live or recorded audio, video, or photographic display or other transmission, exhibition, publication, or reproduction made of, or at, the event (regardless of whether before, during, or after the event) worldwide in perpetuity for any purpose, in any manner (whether edited, cropped, altered, or combined with other elements or effects), in any medium, media or context now known or hereafter developed, including marketing materials, without further authorization from, or compensation to, you or anyone acting on your behalf. You agree that you will not have any claim, including claims based upon invasion of privacy, defamation, or right of publicity, arising out of any use in accordance with the terms of this paragraph.
Advertised start times of events are subject to change. Admission is not guaranteed for late arrivals. Generally, every reasonable effort to admit latecomers will be made at a suitable break in the event, but admission is not guaranteed.
20. Limitation on Liability; Dispute Resolution.
By participating, you fully and unconditionally agree to these Official Rules and the decisions of the Togethxr which are binding. You agree that you shall, and hereby do, release, hold harmless, and indemnify Togethxr, any parent company, affiliated companies, and all other businesses involved in this Giveaway and advertising and promotion agencies, as well as the employees, officers, directors and agents of each such company (collectively, the “Togethxr Parties”), from all claims, liability, disability, injuries, costs of litigation and settlement, losses or damages of any kind, including death, to persons or property resulting from or relating to, in whole or in part, directly or indirectly, their participation in the Giveaway or acceptance, possession, misuse or use of a Prize, or claims based on publicity rights, defamation or invasion of privacy, copyright infringement, trademark infringement, or infringement of any other intellectual property right. Winners assume all liability for any injury or damage caused or claimed to be caused by participation in this Giveaway or receipt or use of the Prizes. The limitations set forth in this section will not limit or exclude the Togethxr Parties’ liability for personal injury or tangible property damage caused by the Togethxr, or for the Togethxr Parties’ gross negligence, fraud, or intentional, willful, malicious, or reckless misconduct. The Togethxr Parties have not made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, with respect to the Prizes, including, without limitation, to the Prizes’ quality or fitness for a particular purpose. The Togethxr Parties are not responsible for any typographical or other error in the advertising for the Giveaway, administration of the Giveaway or in the announcement of the Prizes. Togethxr Parties are not responsible if the Giveaway cannot take place or if the Prizes cannot be awarded due to cancellations, delays or interruptions due to acts of God, acts of war (declared or undeclared), natural disasters, weather, acts of terrorism, riot or civil disturbance, satellite or equipment failure, federal state or local government law, order or regulation, public health crisis, order of any court or jurisdiction, or other cause not within Togethxr’s control (each a “Force Majeure” event or occurrence).
Each entrant understands and agrees that all rights under Section 1542 of the Civil Code of California and any similar law of any state or jurisdiction of the United States are hereby expressly waived by him/her. Section 1542 reads as follows:
“A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.”
In the event of a dispute over the identity of an entrant, entry will be deemed submitted by the “Authorized Account Holder” of the e-mail address submitted at time of entry in connection with the entry, and such individual must comply with these Official Rules. Authorized Account Holder means the natural person 18 years of age or older and the age of majority who is assigned to an e-mail address by an Internet access provider, online service provider, or other organization that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. Togethxr may ask any entrant or potential winner to provide Togethxr with proof that such party is the authorized account holder of the email account associated with the entry. Entry materials/data that have been tampered with or altered, or mass entries or entries generated by a script, macro or use of automated devices are void. The Togethxr Parties are not responsible for: (i) error, omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of entry materials, or for technical, network, wireless network, telephone equipment, telephone line, electronic, computer, hardware or software malfunctions of any kind, or inaccurate transmission of or failure to receive entry or email information by Togethxr on account of technical problems or traffic congestion on the internet or at any web site or any combination thereof or any other reason beyond Togethxr's control; or (ii) any injury or damage to persons or property, including but not limited to death, which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Giveaway or receipt or use of the Prizes. By participating in the Giveaway, you (i) agree to be bound by these Official Rules, including all eligibility requirements, and (ii) agree to be bound by the decisions of the Togethxr, which are final and binding in all matters relating to the Giveaway. Behavior which is intended to disrupt or undermine the legitimate operation of the Giveaway, or which is intended to annoy, abuse, threaten or harass any other person, or any failure to comply with these Official Rules, may result in disqualification from the Giveaway, and Togethxr reserves the right to seek damages and other remedies from any such person engaging in such behavior to the fullest extent permitted by law. Togethxr reserves the right to: (i) permanently disqualify from the Giveaway any person it believes has intentionally violated these Official Rules; and (ii) cancel, suspend and/or modify the Giveaway without any liability for any reason, including without limitation if any fraud, virus, tampering, bugs, unauthorized intervention, technical failures or other factor beyond Togethxr’s control impairs the administration, functioning, fairness, integrity or proper play of the Giveaway, as determined by Togethxr in its sole discretion, and withdraw the online method of entry if it becomes technically corrupted (including if a computer virus or system malfunction inalterably impairs its ability to conduct the Giveaway), and to select winners from among all eligible entries received prior to withdrawal. Inclusion in such random drawing shall be each entrant’s sole and exclusive remedy under such circumstances.
The Togethxr Parties are not responsible for incompatibility of your hardware, software or browser technology with the Togethxr’s hardware, software or browser technology.
Failure by Togethxr to enforce any provision of these Official Rules shall not constitute a waiver of that provision.
All issues concerning the construction, validity, interpretation and enforceability of these Official Rules will be governed by and construed in accordance with the internal laws of the State of California without giving effect to any choice of law or conflict of law, rules, or provisions that would cause the application of any other laws. UNDER NO CIRCUMSTANCES WILL YOU BE PERMITTED TO OBTAIN ANY AWARD FOR, AND YOU HEREBY KNOWINGLY AND EXPRESSLY WAIVE ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, INDIRECT, EXEMPLARY, CONSEQUENTIAL, SPECIAL, LOST PROFITS, LOSS OF USE OR DATA OR ANY OTHER DAMAGES, OTHER THAN ACTUAL OUT OF POCKET EXPENSES NOT TO EXCEED TEN DOLLARS ($10.00). YOU IRREVOCABLY WAIVE ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF. THE FOREGOING LIMITATATIONS APPLY REGARDLESS OF THE CAUSE OR FORM OF ACTION (WHETHER BREACH OF CONTRACT OR WARRANTY, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE). You agree that all disputes relating to or arising out of this Purchase Policy shall be submitted to the American Arbitration Association (“AAA”) for arbitration before a single arbitrator, who shall be a retired judge, in accordance with the rules of the AAA then in force and effect as the sole exclusive remedy for resolving such controversies. The parties agree that the decision of the arbitrator shall be final and binding and that a judgment may be entered on such arbitration or in any court of competent jurisdiction. The parties agree any such arbitration shall take place in Los Angeles, California. The prevailing party in any such arbitration shall be entitled to recover its costs and expenses, including reasonable attorneys’ fees.
21. General.
If any part of these Official Rules is not valid or enforceable, then that provision shall be deemed severable, meaning it will not affect the validity or enforceability of any remaining provisions. If you do not comply with these Official Rules, and we do not act right away, that does not mean we are giving up any rights now or in the future. In these Official Rules, the section headings are used for reference and convenience only and are not legally binding.
